APPNA Alliance Board of Trustees (Alliance BOT) is being appointed to oversee and be an ombudsman for the APPNA Alliance. APPNA Alliance shall not be dissolved without the unanimous vote of the Alliance BOT. Alliance BOT, Executive Committee, Committee Chairs and Committee members shall always strive to do right and work as a Team. No Alliance officer shall take upon himself or herself to represent the organization, make commitments or pledges without the vote of both Alliance EC and BOT.
APPNA Alliance Board Of Trustees shall have five (5) active Alliance members in good standing for the term they have been the members of APPNA Alliance.
Alliance BOT, Alliance Executive committee, Alliance committee chairs, and committee members must be familiar with and abide by APPNA Alliance bylaws.
Alliance BOT must oversee Alliance Executive committee, committees, and chapters to ensure that they are actively working to carry out the mission and achieve the objectives of APPNA Alliance.
Alliance BOT member cannot have served APPNA Alliance in the past year as a President of APPNA Alliance or as chair of a committee.
To be an eligible candidate to serve on Alliance BOT, the candidate must be a member of the respective chapter and have been in good standing for the previous 5 years. Additionally, an eligible candidate is an APPNA Alliance life member, has served APPNA Alliance as a President for at least 5 or more years.
Alliance BOT member cannot serve concurrently as an Alliance committee chair.
Alliance BOT member may serve on an adhoc Alliance committee if requested by Alliance leadership and approved by Alliance BOT.
Alliance BOT member must not have any unresolved conflict of interest complaint against her/him. Alliance Executive Committee must suggest candidates to BOT who have a track record of being dedicated to APPNA Alliance and are familiar with APPNA Alliance bylaws.
APPNA Alliance Board of Trustees shall be comprised of five (5) members nominated from APPNA Alliance membership. All BOT members must reside in North America during their term of service.
Alliance BOT members may serve maximum four (4) or a five (5) year term except the initial BOT. The Alliance BOT shall elect a Chair and a Secretary every year by an order of seniority from among the BOT members.
Mandatory training for all officers must be conducted yearly. A professional organization must be hired to provide training services for the officers of the Alliance.
Training must be arranged by BOT and accessible online to all Alliance officers after they pay training fees.
At the end of the 3rd year and every year thereafter, Alliance EC shall nominate three (3) prospective BOT candidates. The board shall elect one board member from the group, who will be a non-voting member (trainee) for one year before becoming a full voting BOT member.
Alliance BOT shall have a member rotate off each year, starting at the 4th year; a new board member shall join the board every year thereafter to serve for a four or a five-year term.Each Alliance BOT Chair shall be the first in line to rotate off the BOT, serving a total of 4 years on BOT.
Alliance BOT shall oversee mandatory training for Alliance BOT and Executive committee to carry the necessary obligations of an officer of APPNA Alliance.
Alliance shall always work as a team. No BOT member or Executive Committee member shall act alone to make a pledge or a commitment on behalf of Alliance; except by resolution approved by both Alliance BOT and Executive Committee.
Alliance BOT shall appoint an Ethics and Grievance Committee to investigate complaints and present a report to BOT.
APPNA Alliance Executive Committee and APPNA Alliance BOT shall meet four times in a calendar year.
Alliance BOT shall have the authority to approve a new chapter for APPNA Alliance.
Alliance BOT shall also have the authority to disqualify an existing Alliance Chapter subject to conflict of interest, illegal or unlawful activity, violation of Alliance bylaws.
All APPNA Alliance Committee meeting minutes must be available for perusal by Alliance BOT.
Alliance BOT shall oversee APPNA Alliance finances and have access to account reports at all times.
Alliance financial audit by an outside agency must be arranged by Alliance BOT and reported back to Alliance BOT.
Alliance funds must not be spend outside the budgeted activities decided by the joint BOT and Executive Committee during the joint BOT and Executive Committee meetings.
Alliance Executive committee and Membership committee shall map out an outreach campaign to expand Alliance presence by recruiting new members while strengthening and opening new chapters.
Alliance BOT shall oversee the election process conducted by the Nomination and Election committee to ensure that Alliance elections are conducted in a transparent and efficient manner.
All Alliance members have the right to nominate and vote for the candidate they believe most worthy of their vote. All Alliance members must be informed when the Election and Nominations process begins.
Alliance elections ballots must be mailed at least a 6 weeks before the election date to all Alliance members.
Ballots must be due 2 weeks before the annual APPNA Alliance session.
Alliance BOT shall have the authority to disqualify a candidate who campaigns for the BOT position.
